Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of FSpend ("Service"), operated by KodPintar LLP ("Company", "we", "us", or "our"), a limited liability partnership registered in Malaysia.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

FSpend is a cloud-based financial management platform that provides expense tracking, invoice management, and financial reporting tools for businesses and organizations.

3. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

Each organization on FSpend is managed by an organization owner. The organization owner is responsible for managing team members, billing, and ensuring compliance with these Terms.

4. Free Trial

New organizations are eligible for a 30-day free trial. During the trial period, you have full access to all features. At the end of the trial, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access to the Service will be suspended.

5. Subscription and Billing

The Service is offered on a subscription basis. Billing is handled by our payment processor, Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions. Paddle's terms apply to payment processing.

Subscriptions are billed monthly. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period. Please refer to our Refund Policy for details on refunds.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit malicious code, viruses, or harmful data
  • Use the Service to store or transmit content that infringes on intellectual property rights
  • Resell, sublicense, or redistribute the Service without our prior written consent

7. Data Ownership

You retain all rights to the data you upload or create in the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to use Your Data solely to provide and improve the Service.

You may export or delete Your Data at any time while your subscription is active.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will make reasonable efforts to notify users in advance of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by applicable law, KodPintar LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for a reasonable period following termination.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
